Referral Program Terms

1. Overview

These Referral Program Terms (“Referral Terms”) govern your participation in any Spiffy referral, affiliate, or ambassador program (collectively, the “Program”). By participating in the Program, you agree to be bound by these Referral Terms, which are incorporated into and subject to the Spiffy Terms of Service available at https://spiffy.co/legal/terms. In the event of a conflict between these Referral Terms and the Terms of Service, these Referral Terms shall control with respect to Program-related matters.

2. Eligibility

Participation in the Program requires an active, paid Spiffy account in good standing. Only current Spiffy customers who are actively using the platform are eligible to participate. Spiffy may, at its sole discretion, grant exceptions to this requirement on a case-by-case basis.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. Participation in the Program does not create an employment, partnership, joint venture, or agency relationship between you and Spiffy.

3. How the Program Works

Each eligible Spiffy account is provided with a unique referral link accessible from within your Spiffy account dashboard. You may share this referral link with prospective Spiffy customers. When a new customer signs up and subscribes to a paid Spiffy plan using your referral link, you become eligible to earn commissions as described in these Referral Terms.

Referral tracking is based on a 30-day last-click attribution model. This means the referring link that a prospective customer most recently clicked within the 30 days prior to their purchase will receive credit for the referral. Spiffy reserves the right to modify the referral mechanism, tracking method, and attribution model at any time.

4. Commission Structure

Eligible referrers earn a commission equal to twenty percent (20%) of each payment made by a referred customer, excluding any applicable taxes, fees, or transaction charges. Commissions are calculated on the net payment amount actually received by Spiffy.

Monthly subscriptions: Commissions are earned on each monthly payment made by the referred customer for up to twelve (12) consecutive monthly payments from the date of their initial subscription purchase.

Annual subscriptions: Commissions are earned as a one-time payment equal to twenty percent (20%) of the referred customer’s initial annual payment.

If a referred customer upgrades or downgrades their subscription plan during the commission period, the commission amount will automatically adjust to reflect twenty percent (20%) of the new payment amount for subsequent payments within the remaining commission period.

Spiffy may, from time to time, offer enhanced commission tiers, ambassador programs, or other promotional referral arrangements at different commission rates or terms. Such arrangements will be subject to these Referral Terms unless otherwise specified in a separate written agreement.

5. Commission Payments

Commissions are processed and paid on a quarterly basis. All payments are made via PayPal. You are responsible for providing and maintaining a valid PayPal account within your Spiffy referral dashboard. Spiffy is not responsible for delayed or failed payments resulting from inaccurate or incomplete PayPal account information.

Commissions will be held in a pending status for a minimum of forty-five (45) to sixty (60) days from the date the underlying payment is received from the referred customer. This hold period allows for the resolution of any chargebacks, refunds, or disputes before commissions become payable. Pending commissions are visible in your Spiffy account dashboard.

6. Refunds, Chargebacks, and Clawbacks

If a referred customer receives a refund, initiates a chargeback, or disputes a payment for any reason, the corresponding commission will be reversed and deducted from your pending or future commission balance. If a clawback results in a negative commission balance, Spiffy reserves the right to offset the negative balance against future commissions earned.

Spiffy’s determination regarding refunds, chargebacks, and commission adjustments is final and binding.

7. Corrections and Adjustments

Spiffy reserves the right to make corrections and adjustments to commissions at any time and without prior notice for any reason, including but not limited to: self-referrals, fraudulent or suspicious activity, duplicate accounts, technical errors in tracking or attribution, violations of these Referral Terms, or any activity that Spiffy determines, in its sole discretion, is inconsistent with the spirit and intent of the Program.

8. Tax Obligations

You are solely responsible for reporting and paying any and all taxes due in connection with commissions earned through the Program. Spiffy may require you to provide tax documentation, including but not limited to IRS Form W-9 (for U.S. persons) or Form W-8BEN (for non-U.S. persons), before commissions can be paid. Spiffy may report commission payments to tax authorities as required by applicable law.

9. Acceptable Use and Prohibited Conduct

You agree to promote Spiffy in a professional, honest, and ethical manner at all times. When sharing your referral link or promoting Spiffy, you must comply with all applicable laws and regulations, including but not limited to the Federal Trade Commission’s (FTC) guidelines on endorsements and testimonials, CAN-SPAM Act requirements, and any applicable state or international advertising and disclosure laws.

The following activities are strictly prohibited and may result in immediate termination from the Program, forfeiture of all pending and future commissions, and/or suspension or termination of your Spiffy account:

  • Self-referrals, including creating or using multiple accounts to generate referral commissions for yourself.
  • Click interception, cookie stuffing, ad injection, or any other form of deceptive or manipulated tracking or attribution.
  • Bidding on Spiffy branded keywords or variations thereof in paid search advertising (e.g., Google Ads, Bing Ads) without prior written authorization from Spiffy.
  • Making false, misleading, or unsubstantiated claims about Spiffy, its products, pricing, features, or capabilities.
  • Sending unsolicited bulk email (spam), unsolicited messages, or engaging in any form of communication that violates applicable anti-spam laws.
  • Impersonating Spiffy or any Spiffy employee, or representing yourself as an employee, agent, or official representative of Spiffy.
  • Using the Program in any manner that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Any activity that Spiffy determines, in its sole discretion, may damage the Spiffy brand, reputation, or business interests.

You must clearly disclose your referral relationship with Spiffy in any content, communication, or promotion that includes your referral link, in compliance with FTC guidelines and all other applicable disclosure requirements.

10. Program Modification and Termination

Spiffy reserves the right to modify, suspend, or terminate the Program or any aspect thereof, including commission rates, payment terms, eligibility requirements, and these Referral Terms, at any time and at its sole discretion. Spiffy will make reasonable efforts to provide advance notice of material changes, but is not obligated to do so.

In the event the Program is terminated by Spiffy, commissions that have already been earned and are past the pending hold period will be honored and paid in the next quarterly payment cycle. Commissions that are still within the pending hold period at the time of termination will be evaluated on a case-by-case basis and may be paid at Spiffy’s discretion. No new commissions will accrue after the date of termination.

Spiffy may terminate your participation in the Program at any time, with or without cause, and with or without notice. Upon termination of your participation, all unpaid commissions may be forfeited if termination is due to a violation of these Referral Terms.

In the event of extraordinary circumstances — including but not limited to fraud, security breaches, legal or regulatory action, financial hardship, or force majeure events — Spiffy reserves the right to immediately suspend all commission payments and Program activity pending investigation and resolution. Spiffy will not be liable for any losses or damages arising from such suspension.

11. Relationship of Parties

Your participation in the Program is as an independent referrer. Nothing in these Referral Terms creates an employment, agency, partnership, or joint venture relationship between you and Spiffy. You have no authority to bind Spiffy or make commitments on behalf of Spiffy.

12. Indemnification

You agree to indemnify, defend, and hold harmless Spiffy, its officers, directors, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your participation in the Program, your promotional activities, any breach of these Referral Terms, or any violation of applicable laws or regulations.

13. Limitation of Liability

In no event shall Spiffy be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Program, including but not limited to loss of commissions, loss of anticipated revenue, or loss of business opportunities. Spiffy’s total liability under these Referral Terms shall not exceed the total commissions actually paid to you in the twelve (12) months preceding the event giving rise to the claim.

14. Governing Law and Dispute Resolution

These Referral Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or related to these Referral Terms or the Program shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association, and you hereby consent to the jurisdiction of the state and federal courts located in the State of Arizona for the limited purpose of enforcing any arbitration award.

15. Entire Agreement

These Referral Terms, together with the Spiffy Terms of Service and Privacy Policy, constitute the entire agreement between you and Spiffy with respect to the Program and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the Program.
